These Terms set out the conditions and procedures for using Kachy, and the rights, obligations, and responsibilities of you and of us.
Welcome to Kachy. These Terms of Service (the "Terms") govern your access to and use of Kachy's websites, applications, APIs, MCP integrations, and related services (together, the "Service"), operated by SYZYGY LLC, a Wyoming limited liability company at 30 N Gould St Ste R, Sheridan, WY 82801, United States ("Kachy", "we", "us", or "our").
By creating an account, signing in, or using the Service, you agree to these Terms. If you do not agree, please do not use the Service. If you act for an organization, you represent that you have authority to bind it.
Our Privacy Policy explains how we handle personal information. Accepting these Terms does not replace any separate privacy consent that the law requires.
Mandatory legal rights take priority over these Terms. Nothing in these Terms excludes a right or remedy that cannot lawfully be excluded, including applicable consumer cancellation, conformity, warranty, refund, payment-dispute, or court-access rights.
You must be at least 18 years old and able to form a binding contract to use the Service. By using Kachy, you represent that you meet these requirements and that the information you provide is accurate and complete, and you agree to keep the information needed to fulfill your orders up to date.
The Service is offered only where we are able to support it, and the destinations we can deliver to are limited. We may decline, limit, or withdraw access in any location at any time.
You must not use the Service to evade applicable sanctions, trade restrictions, or eligibility requirements. A restriction on your access does not cancel our obligations for orders we already accepted or funds we owe you.
Kachy is an agentic shopping service. You give Kachy a purchase mandate, Kachy searches available supply paths, and Kachy may present an executable offer for your approval. You decide whether to accept an offer. A request alone does not authorize a payment or guarantee an offer.
On a Kachy-executed order, Kachy acts as a principal, not as your broker and not as a neutral marketplace between you and another seller. Kachy sources the item, commits its own funds to acquire it, and sells it to you at the price shown on the offer. That price is the price you pay, and no further Kachy charge is added after your approval.
A person on our team reviews the source and completes the purchase. The Service coordinates and tracks that work rather than checking out automatically on a third-party marketplace.
Kachy is not obligated to source any particular item, to source it at any particular price, or to present an offer at all. Availability and pricing on supply sources change continuously and are outside our control.
Supply may come from third-party marketplaces, commerce partners, boutiques, Kachy-operated inventory, or individual providers. Using a third-party source does not remove Kachy's obligations as your seller. The merchant of record, checkout operator, and applicable protection terms may vary by execution path and are shown on the offer before you accept. Where a partner is the seller and runs checkout, the partner's terms govern its sale, these Terms continue to govern your use of Kachy, and Kachy remains responsible for its own acts and statements.
You sign in with your email address together with a signature from a wallet you control, or with a passkey, depending on which wallet you use. There is no password. As part of your account, a wallet may be provisioned for you through a third-party wallet provider.
You are responsible for keeping access to your email, wallet, passkey, devices, and account secure, and for the activity you authorize under your account. Anyone who can sign with your wallet or passkey can act as you. These Terms do not by themselves make you liable for every unauthorized transaction.
If you believe your account has been compromised, tell us promptly at support@kachy.app. We may restrict access or ask for reasonable verification to protect an account or investigate suspicious activity.
We do not hold your wallet's signing key and cannot sign on your behalf. We also cannot recover a wallet, passkey, or recovery phrase that you lose. Depending on the wallet you use, the signing key is held by you or by the wallet provider, and in neither case by Kachy. This does not mean Kachy has no control over escrow. Kachy separately controls the settlement, refund, and administrative roles described in "If you pay in USDC" below.
Before you approve an offer, review the item, size, condition, included accessories, price, payment method, delivery destination, disclosed charges, and estimated timing. Search results, preliminary quotes, and AI-generated suggestions are not confirmed offers, and availability and source prices can change before an order is accepted.
A Kachy-executed order is accepted when Kachy confirms the order and a successful payment through the Service, whether you pay yourself or through auto pay. Acceptance creates Kachy's obligation to fulfill the order as agreed or to give you the cancellation, refund, or other remedy these Terms or the law require. It does not mean that Kachy has already bought the item from the source.
If we cannot accept an order, we release any payment authorization or refund anything we collected. If we cannot buy the item after accepting the order, the refunds below apply.
We will not substitute a materially different item, raise the approved price, or move an accepted order to a different seller or payment method without your agreement. If an error prevents us from fulfilling the order on the agreed terms, we will explain the problem and cancel and refund the order rather than make a different purchase for you.
The offer shows the amount you pay Kachy, including disclosed Kachy fees and any shipping or taxes included in it. Kachy does not add a further charge after your approval without a new authorization.
If import duties, taxes, customs costs, or other destination charges are payable separately by you, that is disclosed before you approve the offer. A charge that was not disclosed is not something you authorized.
Your bank, card issuer, wallet provider, or blockchain network may charge its own fees, such as currency conversion or network fees. These are not Kachy charges. Network fees are yours unless the Service says Kachy covers that step. Exchange-rate movements and third-party conversion fees can change the value of a payment or refund in your local currency.
Kachy supports two payment rails. Which one applies to an order is shown on the offer before you accept it, and a rail that is not currently available will not be offered.
Card. You pay by card through our payment processor, which handles your card details. You must be authorized to use the card. Kachy does not store your full card number. A refund on this rail is returned to the card you paid with, through the same processor. If that card can no longer receive a refund, we will arrange a lawful alternative after appropriate verification.
USDC escrow. You pay in USDC, a US dollar stablecoin, on a supported blockchain network. USDC is available only when an offer shows it, and you must use the supported token and network. Prices may be displayed in dollars or won for readability, but the asset that moves is USDC, and the payment screen shows the exact amount charged.
Fees are disclosed before you accept an offer, and the offer total is the amount you approve.
An AI assistant or another app you connect to kachy can prepare an order for you, but you always review, approve, and pay for that order yourself in the kachy app, unless you turned on auto pay for that app as described below. A connected app cannot confirm receipt or release payment on your behalf.
Auto pay is off unless you turn it on in the kachy app. To turn it on, you save a card, set a limit per order and a limit for any 30 days, choose which connected apps may use it, and accept these terms. No connected app can turn it on, choose apps, or change your limits.
While auto pay is on for an app, you authorize kachy to charge your saved card, without asking you again, for a confirmed kachy offer that app orders for you, delivered to the address saved in your kachy account, within your limits. kachy notifies you of each such payment. Your limits cap what an app can spend. They do not confirm that each item is what you wanted, so choose apps carefully and give them clear instructions.
A payment made through auto pay is final in the same way as a payment you make yourself: you cannot cancel it or request a refund because you changed your mind. The refunds described below apply to it as to any order. Your rights about unauthorized, duplicate, or mistaken charges are not affected.
You can turn auto pay off, for one app or for all of them, or remove your card at any time in the kachy app, and disconnecting an app turns its auto pay off. Turning auto pay off stops new automatic payments. It does not by itself cancel a payment or order that was already made. kachy may pause auto pay for an app when it sees unusual activity. When kachy cannot charge your card automatically, it charges nothing and sends you the payment link instead. While a payment is being resolved, your card issuer may briefly show a pending entry, and we will correct any duplicate or mistaken charge.
USDC is not money in a bank account. It is not a deposit, it is not insured by the Federal Deposit Insurance Corporation or any other deposit insurance scheme, and it is not backed or guaranteed by Kachy. Its issuer, not Kachy, is responsible for its value and redeemability, and a stablecoin can trade below its intended value.
Blockchain transactions are final. Once a transaction is confirmed on a network it cannot be reversed, cancelled, or recalled by Kachy, by you, or by anyone else. Sending funds to a wrong address or on a wrong network will generally result in permanent loss, and Kachy cannot recover them. You are responsible for any network fee required to transact, except where the Service covers it for a given step. None of this excuses Kachy's own obligations under these Terms or the law.
Your USDC is transferred into the Kachy Escrow smart contract when you accept an offer. It is not held in a Kachy bank account or a Kachy-owned wallet while it sits in escrow. "Escrow" here describes this smart contract arrangement. It does not mean that an independent escrow agent holds the funds, that the arrangement is trustless, or that the funds are insured.
Kachy operates the keys that trigger settlement and refunds on that contract. When Kachy records that verification and delivery are complete, Kachy triggers settlement and the escrowed amount is released to the designated payout recipient, less the disclosed fee. When an order does not proceed, Kachy triggers the refund and the full amount returns to your wallet.
Each execution also has a maximum window written into the contract. It is 45 days from the time your payment is locked, and if Kachy records that your item has shipped, it runs to 60 days from that shipment instead, whichever is later. Once that window passes, the locked amount can be returned to your wallet by anyone, including you, without Kachy's involvement. This is a backstop for the case where we stop responding, not the ordinary way a refund happens. It applies only to funds still locked in the contract, it does not reverse a completed settlement, and you do not have to wait for it when a refund is due earlier.
The escrow contract is upgradeable, and its parameters, including the fee rate and the windows above, can be changed by its administrator. Kachy controls those administrative roles. The Service is not a trustless system, and you are relying on Kachy to operate it honestly, except at the one point stated above where a step can proceed without us. Being able to change the contract does not give Kachy permission to remove your rights. We will not use an upgrade or a parameter change to raise the agreed charge, reduce an amount owed to you, or extend the refund backstop for an order you already funded, unless you agree or the law requires it.
Before payment, you may cancel at any time, in the kachy app or through a connected app. Nothing has been paid at that stage.
Your payment is final once you make it. You cannot cancel an order or request a refund because you changed your mind after paying. You confirm this separately, in your own words, immediately before you pay. That confirmation records that you read this rule. It does not waive cancellation or consumer rights that the law gives you. With auto pay, the authorization described above takes its place.
Your item travels in two legs. It is delivered from the source to Kachy, checked on arrival, and then shipped to you. The tracking you see is for the shipment to you.
After delivery, you have 3 days to confirm receipt or report a problem in the kachy app. If you cannot use the app, email support@kachy.app. If you take no action within that window, Kachy may record confirmation and settle the order. A connected app cannot confirm receipt or release payment for you.
The 3-day window is when an order settles. It is not a deadline that ends your legal rights: confirmation or settlement does not waive your rights about hidden defects, a wrong item, non-delivery, or other claims the law protects. If you report a problem before settlement, we pause settlement while we look into it. If the funds were already released, Kachy still owes you any refund or remedy that is due.
We may ask for reasonable evidence, such as photos, packaging details, or tracking information. An unboxing video is not required for every claim.
Partner checkout executions, where offered, follow the partner's own payment and protection terms rather than the sections above. The applicable route is shown on the offer before you accept.
A refund returns the full amount Kachy collected for the order, including Kachy fees and the shipping included in that payment, on the rail you paid with. Fees charged separately by your bank or network, or for currency conversion, are not refunded by Kachy unless the law requires it or Kachy caused them. A USDC refund returns the USDC amount you paid, so its value in your currency may differ from when you paid.
We do not take returns or make exchanges because you changed your mind, and we do not offer partial refunds, price adjustments, or store credit, except where the law requires a remedy. If something is wrong with the item or the delivery, report it in the kachy app within 3 days of delivery.
After payment, Kachy refunds you in full in these cases:
These commitments add to, and do not limit, your rights under the law, which may also entitle you to cancellation, repair, replacement, a price reduction, or a refund in other cases. A problem that was clearly disclosed and accepted as part of an item's condition is not, by itself, an undisclosed defect.
If we need the item back to resolve your report, we will tell you where and how to send it. Please do not send an item back before we do. Whatever the reason for a return, including a withdrawal described below, you pay the cost of shipping the item back, unless the law requires Kachy to pay it.
Where the law gives you a right to withdraw from a purchase within a set period, that right applies even though we do not take change-of-mind cancellations. To use it, tell us clearly through Support or at support@kachy.app within that period. No special wording is needed unless the law requires it. An exception to that right applies only when it truly fits the item and the purchase and any notice or consent the law requires was given. Sourcing an item in response to your request does not by itself make it a personalized item that is exempt from that right.
We start refunds promptly and within any legal deadline. When a refund appears depends on your bank or the network. Kachy's own arrangements, including whether it can recover money from a supplier, do not reduce what Kachy owes you.
You may use your card issuer's or payment provider's dispute process. Contacting Kachy first can help resolve an issue, but it is not required. We may share relevant transaction records in response to a dispute.
Kachy checks an arriving item for condition and damage. Kachy does not authenticate it, and the check may not find every hidden defect. Where an item carries an authenticity attestation, that attestation was made by the source or by a third-party verifier, not by Kachy, and Kachy records it rather than issuing it. These limits do not reduce Kachy's responsibility for the item description or your rights about counterfeit or nonconforming goods.
Provide an accurate delivery address and cooperate with the reasonable delivery and customs requirements disclosed for your order. If a wrong address, a refused delivery, or missing information prevents delivery, we will explain the options and any lawful costs disclosed in advance. Such a problem does not by itself forfeit your whole payment.
We will tell you about material shipping delays and give you the delay consent, cancellation, and refund options the law requires. The 7-day purchase window and the escrow backstop do not replace our delivery obligations.
Risk of loss passes to you when you or your designated recipient physically receives the item, subject to mandatory law. A carrier scan is evidence of delivery, but it does not by itself settle a credible claim that the item did not arrive.
Item information may originate from marketplaces, commerce partners, boutiques, inventory operators, or other supply providers. Availability and item details can change before execution.
You are responsible for reviewing item details, including size, condition, and price, before confirming a purchase.
You keep any rights you have in the requests, messages, images, and other content you submit. You give Kachy a non-exclusive, worldwide, royalty-free license to use, host, copy, process, and adapt that content as reasonably needed to run the Service and fulfill your requests, and our service providers may do so for those purposes. This license does not allow us to sell your personal information or to use your private content in unrelated advertising.
You may choose to share an anonymous summary of a purchase request on Discover. Web requests are set to share by default, and you can turn sharing off before submission or withdraw the request later. MCP and API requests are shared only when sharing is explicitly requested. If you share a request, the license above also lets us prepare and display its public summary and lets other users save it or start their own request from it.
Product size and approved conditions may appear with the anonymous request, but another user must provide their own size and delivery details to start a request from it. Their request is separate from yours, does not include your delivery destination or identity, and creates no obligation for you. You must not include contact details, addresses, account names, links, prohibited products, or other sensitive information in content intended for public sharing. Screening reduces this risk but does not guarantee anonymity.
Withdrawing a shared request removes it from Live Requests and from other users' saved requests in Kachy. It does not undo separate orders others already placed, and we cannot guarantee the removal of copies or screenshots made outside Kachy.
You may authorize another application or agent to act on your account through our published integration. An authorization you grant lets that software read your account and create requests as you, within the scope you approved, and the kachy approval page shows that scope before you approve. You are responsible for what you authorize, and you may withdraw an authorization at any time.
Disconnecting an app stops its future access. It does not erase what the app already received or cancel existing orders, and the app's provider handles that information under its own terms and privacy policy.
AI output and recommendations can be incomplete or wrong. They do not change a confirmed offer, expand an app's permissions, waive your rights, or amend these Terms.
You agree not to:
These restrictions do not prohibit activity that the law protects. We may reject requests or remove content that breaks these Terms, with notice where appropriate.
The Service, including its software, design, text, and branding, is owned by Kachy or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You may not copy, modify, distribute, reverse engineer, or create derivative works except as allowed by law or by us. This does not limit your rights in your own content or under applicable open-source licenses.
The Service relies on third-party providers, including wallet, payment, identity-verification, marketplace, and commerce partners. Your use of those services may be subject to their own terms and policies. We do not guarantee services that third parties run independently. Using them does not remove Kachy's obligations for its own services, accepted orders, refunds, or conduct.
To the extent the law allows, the digital Service is provided "as is" and "as available" without implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Kachy does not warrant that the Service will be uninterrupted, secure, or error-free, or that AI output will be free of errors.
These disclaimers do not override our express commitments, the agreed description of an item, or mandatory warranties and consumer rights for the goods and services we supply.
To the fullest extent permitted by law, Kachy and its officers and employees will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, goodwill, or business opportunities, arising from your use of the Service.
Except as stated below, our total liability for claims arising from an order will not exceed the total amount you paid for that order. For claims that do not relate to a particular order, our total liability will not exceed the greater of US$100 and the fees you paid Kachy in the 12 months before the event giving rise to the claim. Related claims arising from the same order share one cap.
These exclusions and caps do not limit:
They apply only to the extent they are enforceable under the law that applies to your claim.
To the extent permitted by law, you agree to compensate Kachy for reasonable losses and expenses, including reasonable legal fees, resulting from a third-party claim, to the extent the claim was caused by your fraud, willful misconduct, unlawful conduct, or knowing violation of another person's rights through the Service.
This does not cover ordinary lawful use, a good-faith consumer complaint, or a loss caused by Kachy's own breach, negligence, or unlawful conduct. We will tell you promptly about a covered claim and give you a reasonable opportunity to take part in its defense, and we will not agree to a settlement that imposes an admission or a non-monetary obligation on you without your consent, which you will not unreasonably withhold.
We may suspend or terminate your access for a material violation of these Terms, suspected fraud, a security threat, or a legal requirement, and we may discontinue the Service with reasonable notice where practicable. Sometimes we must act immediately to prevent harm or comply with the law.
You may stop using the Service at any time and ask us to close your account at support@kachy.app. To ask us to delete your personal information, contact privacy@kachy.app. Suspension or closure does not automatically cancel accepted orders or forfeit your funds, and we will handle outstanding orders, refunds, and legal obligations.
Events beyond our reasonable control, such as natural disasters, carrier disruptions, or network outages, may delay performance. We will take reasonable steps to limit their effects. They do not remove mandatory cancellation rights or let us keep payment indefinitely for goods we cannot provide.
Terms meant to continue after closure, including payment obligations already owed, intellectual property, lawful liability limits, and dispute terms, survive to the extent applicable.
We may update these Terms. We will update the "Last updated" date above and give reasonable advance notice of material changes, unless a shorter period is needed for legal or security reasons.
Changes apply going forward. An accepted order stays under the terms that applied when it was accepted, unless you agree to a change or the law requires otherwise.
Where your affirmative acceptance is required, we will ask for it. Continued use after the effective date counts as acceptance only where the law allows and after appropriate notice. If you disagree, you may stop using the Service without losing rights you already have.
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. This choice does not take away consumer protections that would otherwise apply to you.
You may contact legal@kachy.app to try to resolve a dispute informally. This is optional and does not prevent urgent relief, a complaint to a regulator, or acting within a legal deadline.
Subject to mandatory consumer rules on jurisdiction, disputes will be resolved in the state or federal courts located in Wyoming. Where the law lets you bring a claim where you live or in another forum, you may still do so. These Terms do not require arbitration and do not waive class action rights.
These Terms and the specific offer terms you accept form the agreement for the relevant Kachy services and order. The offer controls the item details, price, and expressly agreed delivery terms, but it does not silently remove the protections in these Terms. Mandatory law prevails over both.
If a provision is unenforceable, the rest continues to apply as far as the law allows. Not enforcing a provision is not a waiver of it.
You may not transfer your account or obligations without our consent, except where the law allows. Kachy may transfer this agreement in a merger, reorganization, or sale of the relevant business if the successor takes on our obligations and the transfer does not reduce your mandatory rights.
We may send service and legal notices electronically, through the Service or to your account email, subject to applicable notice and consent requirements. Keep your contact details current.
For help with an order or your account, use Support in your kachy account, or email support@kachy.app.
